Terms and conditions for onboarding and operating on the DOODER platform
This Vendor / Service Provider Onboarding Agreement (“Agreement”) is entered into between ZETLY INFOTECH PRIVATE LIMITED, operating the DOODER platform (“Company”), and the vendor or service provider (“Vendor”) onboarding through the DOODER app or platform.
DOODER operates a multi-service digital marketplace enabling customers to place orders for products and services from independent vendors. This Agreement governs listing, marketing, fulfillment, and settlement of services offered through the platform.
The Vendor provides services directly to customers. DOODER acts only as an intermediary. Nothing in this Agreement creates a partnership, employment, agency, or joint venture relationship.
Vendors must ensure accurate listings, lawful services, quality standards, hygiene, safety, trained staff, and adherence to service timelines displayed on the platform.
DOODER charges a commission or platform fee per completed transaction. Applicable taxes, gateway charges, refunds, and penalties may be deducted before settlement to the Vendor.
Vendors are solely responsible for charging correct GST, issuing invoices, filing returns, and complying with tax laws. DOODER may deduct TDS/TCS as applicable.
Customer ratings and complaints may impact vendor visibility and continuation on the platform. Serious or repeated issues may lead to suspension or termination.
Vendors must maintain confidentiality of non-public information and use customer data solely for fulfilling platform orders, in compliance with applicable laws.
DOODER is not liable for indirect or consequential damages. Liability, if any, is limited to commissions earned during the three months preceding the claim.
Either party may terminate the Agreement with notice. DOODER may suspend or terminate immediately in cases of legal violations, safety concerns, or repeated breaches.
This Agreement is governed by Indian law. Disputes shall be resolved through arbitration seated in Hyderabad, Telangana.
